Key Responsibilities of Governance Board Members Strategic Oversight Mission and Vision: Ensuring the organization stays true to its mission and vision. Strategic Planning: Participating in the development and approval of strategic plans. Financial Oversight Budget Approval: Reviewing and approving the annual budget. Financial Monitoring: Ensuring the organization’s financial health through regular monitoring of financial statements and audits. Policy Development Governance Policies: Developing and enforcing policies related to governance, ethics, and compliance. Risk Management: Identifying and mitigating risks to the organization. Executive Oversight Hiring and Evaluation: Hiring, supporting, and evaluating the performance of the Operations Manager. Succession Planning: Ensuring there is a plan in place for leadership transitions. Fundraising and Resource Development Fundraising: Actively participating in fundraising efforts and ensuring the organization has adequate resources. Advocacy: Advocating for the organization’s mission and goals within the community and to potential donors. Compliance and Legal Responsibilities Legal Compliance: Ensuring the organization complies with all relevant laws and regulations. Ethical Standards: Upholding high ethical standards and addressing conflicts of interest. Board Development Recruitment: Recruiting and onboarding new board members. Training: Providing ongoing education and training for board members to enhance their effectiveness. Legal Duties Board members have three primary legal duties:
